Under-fire Parramatta director Tanya Gadiel has launched a defence of her role at board level amid the Eels' salary cap scandal while promising that the club's reply to its damning breach notice would be "illuminating for the NRL".

The Parramatta board gathered at the Leagues Club on Wednesday for its first formal meeting since the club was provisionally stripped of 12 competition points, fined $1 million and told that five officials, including chairman Steve Sharp and chief executive John Boulous, were facing deregistration.

Gadiel is one of four directors - the others being Paul Garrard, Geoff Gerard and Andrew Cordwell - who were left untouched by the NRL's sanctions, but the former state MP has been heavily scrutinised since the publication of taped conversations from board meetings.

In a June 2015 meeting during a discussion about a third-party deal secured for Anthony Watmough via inflated invoices, she said: "Sorry, that's the f-word, that's fraud isn't it. That is fraud."

Gadiel, who has stood down from the board of the Nepean Blue Mountains Local Health District, said her comments captured in recorded meetings demonstrated that she took her "responsibilities as a board director very seriously".

"The current NRL salary cap investigation into the Parramatta Eels has made no negative findings in relation to my role as a board member at the Parramatta Eels," she said in a statement. "Notwithstanding that, I had a conversation with Andrew Keegan, chair of the Nepean Blue Mountains Local Health district yesterday - a position I have occupied for almost five years - and offered to stand aside temporarily from my duties until the Eels matter is resolved.

"I felt this was the most appropriate form of action in the circumstances."

As the Eels board came together, Jarryd Hayne's veteran player agent Wayne Beavis confirmed on Wednesday he was in the process of transferring clients to another long-standing manager, Allan Gainey, but insisted it had nothing to do with his alleged involvement in deals that came under the spotlight during the NRL's investigation.

A powerful figure who has represented players for 30 years, Beavis maintained those discussions had been happening for months and that he was seeking a "change of direction".

"I haven't officially moved any clients over to Allan at this stage. It's certainly got nothing to do with what's going on [with Parramatta]."

Beavis is among several leading agents who can expect to face questions when the NRL passes a brief of evidence to the Player Agent Accreditation Committee, the body that oversees the conduct of player managers and can, if it sees fit, impose disciplinary action.

The Eels, meanwhile, remain yet to appoint an interim CEO to steer the club through the current malaise and met on Wednesday after days of high tension. As they work towards the June 3 deadline to the NRL there has been disagreement over issues including the terms of an offer made to leagues club boss Bevan Paul for him to take over as an interim group CEO, the appearance of Gerard as a de facto public spokesman, and the make-up of the legal defence for the club and the five suspended officials. Sharp, Boulous, Tom Issa, Peter Serrao and Daniel Anderson were advised to get their own lawyers separate from the club's solicitors Carroll & O'Dea and barrister Peter Skinner. It's understood all but Issa have done so.

The ongoing drama at Parramatta is broadly reflective of two schools of thought among senior figures there. One, that the Eels need to move on immediately from the so-called "gang of five", and the other that they deserve an opportunity to defend themselves. Of the non-suspended directors, three of the four have been firmly in the latter camp.

"It is clear there is a spiteful campaign on foot and I don't have any desire to put myself above any organisation I have the honour of serving in a board role," Gadiel said. "I remain committed to ensuring the club, my fellow directors and staff named in the breach notice are afforded due process.

"The preliminary findings are being responded to appropriately by our legal team, and I believe the response will be illuminating for the NRL."
